1. Important

1.1 Hyundai Motor Group Innovation Center in Singapore Pte. Ltd. (HMGICS) is the provider of this website at www.hyundai.com/sg (the Website).

1.2 Please read these terms and conditions (Terms) carefully: they form a legally binding agreement between you and HMGICS (Agreement) that governs:

• your use of the Website;

• your use of all the data, images, sounds, designs, communications, computer code, and other information (Content) found on, accessible via, or transmitted to or through the Website; and

• your use of certain services available through the Website such as access to your personal HMGICS membership account (HMGICS Account) and any other HMGICS services, features, or applications that HMGICS may offer through the Website from time to time (Services). Where you log into your HMGICS Account on the Website, the Terms of Use of the HMGICS Account will apply to govern the use of your HMGICS Account. Each Hyundai service which you may access through the HMGICS Account, is governed by its own terms of use.

1.3 By using the Website, Services or the Content, you hereby agree:

• that you have read and agree to be bound by all the terms set out in these Terms, as well as our Privacy Policy; and

• that you are at least 18 years old and have the necessary legal capacity, right, power and authority to agree to these Terms or, if you are under 18 years of age (Minor), that you are using the Website, Services or the Content with the consent of your parent or legal guardian and that you have received your parent’s or legal guardian’s permission to use the Website, Services or the Content and agree to these Terms. If you are a parent or legal guardian of a Minor, you shall read through these Terms with the Minor and hereby consent to the Minor using the Website, Services or the Content in accordance with these Terms. If you approve of the Minor accessing and using the Website, Services or the Content, you represent and warrant that you are such Minor's parent or legal guardian, and you agree to be bound by these Terms, including without limitation being liable for all use of the Website, Services or the Content by the Minor, and that you will hold us harmless for any and all liability that may arise from the Minor's use of the Website, Services or the Content. If you are a Minor and you do not have consent from your parent(s) or legal guardian(s), you must stop using/accessing the Website, Services or the Content immediately.

1.4 If you do not agree with any of these Terms, please do not use the Website, Services or the Content. You also acknowledge and agree that you are only allowed to visit and use the Website, Services and Content by strictly following the terms set out in these Terms.

1.5 HMGICS may at any time vary or amend these Terms without giving advance notice to you by posting the amended Terms on the Website. You should look through the Terms regularly to check for amendments and updates made to the Terms. We will also update the "Last amended" date at the top of these Terms. Any continued access and use of the Website, Services or Content after the amendment of these Terms constitutes deemed acceptance of the amended Terms by you. If you do not agree to the amended Terms, you have the right to stop using the Website, Services and Content.

2 Intellectual Property and Limited use

2.1 The Website and all Content are the copyrighted works of HMGICS and its licensors. HMGICS and its licensors reserve and retain all rights (including all Intellectual Property Rights and other rights) in the Website and Content, including any updates or customisations of any of the foregoing.

2.2 The domain name on which the Website is hosted is the sole property of HMGICS and you may not use or otherwise adopt a similar name for your own use.

2.3 The trademarks, logos and service marks (Marks) displayed on this Website are the property of HMGICS and other third parties, and all rights to the Marks are expressly reserved by HMGICS and the relevant third parties. You are not permitted to use the name of HMGICS or any Marks, including in any advertising or publicity or as a hyperlink, without the prior written consent of HMGICS or the relevant third party.

2.4 HMGICS grants you a personal, non-exclusive, non-transferable and limited licence to enter and use the Website, the Services and the Content via your personal computer, portable devices, mobile telephone or other access device for private, non-commercial purposes only and subject to your strict compliance with these Terms. Any rights not expressly granted in these Terms are reserved. This licence may, at HMGICS and its licensors sole and absolute discretion, be revoked at any time or for any reason without notice.

2.5 In addition, HMGICS reserves the right to change, modify, suspend or discontinue the whole or any portion of the Website, Services or Content at any time without notice and liability. We may also impose limits on certain features or restrict your access to parts of or the entire Website, Services or Content without notice or liability or due to geographical restrictions.

3 Content provided by users and user account

3.1 Other than your personally identifiable information, you hereby grant us an exclusive, perpetual, universal, irrevocable, transferable, sub-licensable, royalty-free and fully paid-up right and licence to use and exploit any data or Content including any feedback, comments, and suggestions submitted by you regarding our products and/or Services you send, post, or upload to or through the Website, including any email or other communication. HMGICS may use this information for any purpose, commercial or otherwise, and may, among other things, share, copy, send, publish, post, or broadcast this information. Also, HMGICS may use, for any purpose, the ideas, knowledge, or methods contained in this information. Such purposes include, but are not limited to designing, manufacturing, and marketing products or services.

3.2 You agree that you shall only submit or provide information in relation to your account on our Website which is complete, accurate and true, and that you will keep the information provided up-to-date. HMGICS will not be responsible for any loss or harm suffered by you due to the inaccurate or incomplete data or information provided by you.

3.3 You are responsible for ensuring your account details including your password remain confidential, current, complete and accurate. You are responsible for all activities that occur under your account and/or password (authorised or not) as if such activities were carried out by you. You shall notify HMGICS immediately if you become aware of or have reason for suspecting that the confidentiality of your account details including your password has been compromised or if there has been any unauthorised use of your account.

4 Restricted Conduct

4.1 As a condition of the limited licence that HMGICS grants you to access and use the Website, Services or its Content, you agree that you will NOT:

• reproduce, sell, or use the Website or its Content for any commercial purpose;

• reproduce, distribute, publish, transmit, post, or otherwise provide the Website or its Content to anyone other than yourself for your own personal use;

• create any derivative works of the Website or its Content;

• use any Services except for your own personal, non-commercial use;

• frame or use framing methods to enclose any trademarks, logos, or other proprietary information, including but not limited to images, text, layouts, designs, or forms of HMGICS or its affiliates;

• use meta tags or other hidden text embedding HMGICS name or trademarks;

• download, decompile, reverse engineer, or tamper with any software found on or used to create any part of the Website;

• “hack” or attempt to “hack” the Website;

• make unreasonable bandwidth demands;

• reproduce or store any part of the Website in any other website, or public or private electronic retrieval system or service;

• use the Website or its Content in any way that harms HMGICS, its affiliates, its Services or Content providers, or other third parties with whom HMGICS does business; or

• interfere with, in the sole discretion of HMGICS, the use and enjoyment of the Website and its Content by other users.

4.2 Without prejudice to the generality of Clause 4.1, you agree not to reproduce, display or otherwise provide access to the Website, Services or Content, for example through framing, mirroring, linking, spidering, scraping or any other technological means (including any technology available in the future), without the prior written permission of HMGICS.

4.3 In addition, you must NOT upload or download to, from, or through the Website any material that, in the sole discretion of HMGICS:

• is unlawful, libellous, defamatory, seditious, obscene, vulgar, menacing, hateful, racially or ethnically offensive, blasphemous, in breach of confidence, in breach of privacy, or otherwise objectionable;

• constitutes unsolicited emails, texts, or other messages;

• violates any applicable law, or any third party’s civil, privacy, property, or other rights;

• may incite or encourage others towards criminal acts, acts that create civil liability, or acts that violate applicable laws; or

• requires licenses or approvals which you have not obtained.

4.4 Unauthorized use of this Website may give rise to a claim of damages and may be a criminal offence. You should notify us immediately if you become aware of any unauthorized use or copying of any Content or any part of the Website or any unauthorized access to or other unauthorized activity in connection with the Website.

4.5 HMGICS will cooperate fully with any law enforcement authority, or judicial or administrative order directing or requesting HMGICS to disclose the identity of anyone engaged in uploading, downloading, or transmitting such material.

4.6 Any rights not expressly granted in these Terms are reserved.

5 Disclaimers and Limitations

5.1 While we use reasonable efforts to ensure that the Website, Services and all Content is accurate and complete, we provide the Website, Services and Content on an ‘as is’, ‘as available’ basis only without warranties of any kind either express or implied. To the fullest extent permissible pursuant to applicable law, HMGICS disclaims all warranties and conditions, express or implied, including, but not limited to, implied warranties or conditions of satisfactory quality, merchantability or fitness for a particular purpose, compliance with description, or the warranty of non-infringement. Without limiting the foregoing, HMGICS does not warrant that the functions contained in or access to the Website, Services, Content or other content will be timely, uninterrupted or error-free or without omission, that defects will be corrected, or that the Website, Services, or Content are free of viruses or other harmful components, or that the viewing of the Website on any device will not affect the functionality or performance of the device. HMGICS does not warrant or make any representations regarding the use or the results of the use of the Content, the Services or the Website in terms of their correctness, accuracy, completeness, reliability, or otherwise.

6 Access

6.1 You acknowledge and agree that you may not have access to certain parts of the Website if your computer does not include the appropriate technology. You acknowledge and agree that the access of the Website or to certain areas of the Website may be restricted to certain HMGICS customers.

7 Promotional Information

7.1 HMGICS may make information regarding specific products, services, programs, offers or promotions available on the Website. Any such product, service, program, offer or promotion is subject to availability, eligibility and the specific terms, conditions and restrictions listed on the Website in connection with such product, service, program, offer or promotion. HMGICS reserves the right to alter or withdraw any product, service, program, offer or promotion at any time. Each product, service, program, offer and promotion is void where prohibited by law. Please refer to and read carefully the terms, conditions and restrictions included on the Website in connection with each product, service, program, offer or promotion.

8 Availability

8.1 The Website is available worldwide to anyone with Internet access. However, the Website may not be continuously available due to maintenance or repairs or due to computer problems or crashes, disruption in Internet service or other unforeseen circumstances. The Content of the Website, including advertising content, is intended for use and display only where its use and display are permissible in accordance with applicable laws and regulations.

9 Linked Websites

9.1 HMGICS may provide links, plug-ins, widgets or other connections to other sites ("Linked Websites") that may be of relevance and interest to users. HMGICS has no control over, and is not responsible for the content on or obtained through the Linked Websites or for any damage you may incur from the Linked Websites (including any virus, spyware, malware, worms, errors or damaging material contained in the Linked Websites) or the availability, accuracy or reliability of any of the Linked Websites. You hereby agree to assume all risk arising from the use of the Linked Websites and hereby irrevocably waive any claim against us with respect to the Linked Websites. HMGICS does not endorse, recommend or guarantee any of the Linked Websites, and HMGICS expressly disclaims all liabilities and responsibilities arising in relation to any Linked Websites.

10 Liability

10.1 To the fullest extent permitted by law, HMGICS and its affiliates shall not be liable to you for any damages, losses, expenses, liabilities under any causes of action (whether in contract or tort including, but not limited to negligence, or otherwise) caused through the use of, or the inability to use, Website, the Services or the Content or any other website or device. In the event that HMGICS is liable for damages despite the foregoing provision, you agree that HMGICS’s aggregate liability to you for any and all causes of action shall not exceed One Hundred Singapore Dollars.

10.2 In no event shall HMGICS be liable for any indirect, special, consequential, or incidental damages that result from the Services, Website or Content, or your use of, or the inability to use, the Services, Website, Content or any other website or device, even if HMGICS or a HMGICS authorised representative has been advised of, or should have foreseen, the possibility of such damages.

10.3 Although HMGICS may occasionally examine Content found on or linked to the Website, HMGICS is under no obligation to do so and assumes no responsibility or liability arising from any Content, including but not limited to any Content containing information that is erroneous, unlawful, libellous, defamatory, seditious, obscene, vulgar, menacing, hateful, racially or ethnically offensive, blasphemous, in breach of confidence, in breach of privacy, or otherwise objectionable.

10.4 Although HMGICS uses reasonable efforts to secure your communications, there is a risk that unauthorized parties or unintended recipients may access your communications. You acknowledge and agree that HMGICS cannot exercise complete control over the Website or the Content passing through it, including your communications. You further agree to hold harmless HMGICS or its affiliates for any loss or damages you may suffer resulting from a breach of the security to your communications stored on or passing to, from, or through the Website.

10.5 The Website, Services or Content may contain statements regarding future plans or additions to the Website, Services or Content. These statements are speculative and users should not rely on them in any way. HMGICS shall not be deemed liable for any losses or damages you incur in reliance on such statements regarding the future.

10.6 You agree to fully indemnify and hold harmless HMGICS for all losses, damages, expenses, costs, claims, legal fees, or liabilities whatsoever due to or arising out of any use of the Website, Services or Content, your connection to the Website, your breach of any of these Terms, or your violation of any rights of another person or entity, including intellectual property rights or breach of any statutory requirement, duty or law.

11 Data Protection

11.1 HMGICS recognises the importance of keeping your personal data secure and private. To understand our security and privacy policies and practices, please read our Privacy Policy.

11.2 Please do not submit any personal data without first reading our Privacy Policy which explains our data use and privacy practices.

12 Suspension and Termination

12.1 You agree that HMGICS has the right in its sole and absolute discretion and without notice or liability to restrict, suspend, or terminate your access to all or any part of the Website or Services, without assigning any reason.

12.2 You are also responsible for ensuring that all persons who access our Website through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them.

13 Force Majeure

13.1 HMGICS shall have no liability to you under these Terms if it is prevented from or delayed in performing its obligations under this agreement, or from carrying on its business, by acts, events, omissions or accidents beyond its reasonable control, including, without limitation, strikes, lock-outs or other industrial disputes (whether involving the workforce of HMGICS or any other party), failure of a utility service or transport or telecommunications network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm, default of suppliers or sub-contractors, or disruption or unavailability of any Linked Websites.

14 Assignment

14.1 You may not assign or transfer your obligations under these Terms, in whole or in part without our prior written consent. HMGICS may assign its rights or transfer its obligations under this Terms, in whole or in part, to any third and its sole discretion.

15 Delegation or Subcontracting

15.1 HMGICS reserves the right to delegate or sub-contract the performance of any of its functions or obligations in connection with these Terms to any service provider, subcontractor and/or agent on such terms as it may deem appropriate.

16 No Waiver

16.1 Failure by HMGICS to enforce any of its rights under this Agreement shall not be deemed a waiver of such rights, and such failure shall not affect HMGICS' rights to enforce these Terms or exercise such rights subsequently.

17 Rights of third parties

17.1 A person who is not a Party shall have no rights pursuant to the Contracts (Rights of Third Parties) Act 2001 to enforce rights or benefits under this agreement.

18 Applicable Law

18.1 This Agreement shall be governed by and construed according only to the laws of Singapore.

18.2 The courts of Singapore shall have exclusive jurisdiction over any dispute in relation to or in connection with the Website, the Content or this Agreement.

19 Interpretation and Severance

19.1 The headings of the clauses herein are for convenience only and shall not affect the meaning of the Terms of this Agreement.

19.2 If any Term of this Agreement is deemed illegal or unenforceable by a court of competent jurisdiction, such Term shall be deemed to have been deleted and all other Terms of this Agreement shall remain in full force and effect.

1. These terms of use

1.1 What these terms of use cover. Using the interface on our sign-up page, you may create a personal Hyundai customer account ("HMGICS Account"), by providing your name, your email address and a unique password. A HMGICS Account allows you to view and access Hyundai services, which are currently available and including those which may be added in the future. These terms of use ("Terms") govern the use of your HMGICS Account.
Each Hyundai service, which you may access through a HMGICS Account, is governed by its own terms of use.

1.2 Why you should read these Terms. Please read these Terms carefully before you sign up for a HMGICS Account. These Terms tell you who we are, how you and we may change or end the contract, what actions are prohibited, and other important information. If you think that there is a mistake in these Terms, please contact us to discuss.

2. Information about us and how to contact us

2.1 Who we are. We are Hyundai Motor Group Innovation Center in Singapore Pte. Ltd. (“HMGICS”), a company registered in Singapore. Our company registration number is 201940052N, and our registered office is at 6 Eu Tong Sen Street, #11-10H The Central, Singapore 059817.

2.2 How to contact us. You can contact us by writing to us at customersupport@hmgics.com.

2.3 How we may contact you. If we have to contact you, we will do so by writing to you at the email address provided to us in your registration for your HMGICS Account.

2.4 "Writing" includes emails. When we use the words "writing" or "written" in these Terms, this includes emails.

3. Entering into a contract between you and us under these Terms

3.1 The HMGICS Account is available only to persons of legal age, which is above the age of eighteen (18).

3.2 If your devices are not equipped with the technical features required for the access and use of the HMGICS Account, we shall not be obliged to provide you with a HMGICS Account.

3.3 The HMGICS Account is provided to you free of charge. You accept these Terms by ticking a box indicating your acceptance during the process of signing up for the HMGICS Account. Your acceptance means that a contract will come into existence between you and us.

3.4 The use of the HMGICS Account may require internet access or other telecommunication services. These Terms do not cover any such services. Internet and other telecommunication services, and their prices, are subject to separate agreement(s) with the provider(s) of such telecommunication services.

4. Your obligations

4.1 The information you provide to us for the creation of a HMGICS Account shall be complete, accurate and up-to-date. You shall maintain and promptly update your details and other information you provide to us, to keep such information current and complete.

4.2 You may not use the HMGICS Account in violation of the provisions of these Terms.
The use of your HMGICS Account is personal and for non-commercial purposes, and you may not allow any third party to access your HMGICS Account.
You may not use the HMGICS Account in a manner that violates any applicable laws or regulations, including any rules on intellectual property rights.
You may not do anything which threatens the security of the HMGICS Account, or could jeopardize or impair our technical infrastructure or that of a third party.
You may not damage, disable, hack into, or otherwise interfere with the HMGICS Account, or introduce into the HMGICS Account any viruses, "worms", malware, spyware, "Trojans" or any other harmful code or program that could compromise the operation of the HMGICS Account.

4.3 The HMGICS Account requires a password. You shall choose a password that is sufficiently secure against third parties. We can set rules on what counts as a sufficiently secure password. You are responsible for keeping your password secret and protecting it against accidental or unauthorised disclosure to any third party. If you suspect that a third party has gained unauthorized access to your password or to your HMGICS Account, you shall immediately change the password and immediately contact our customer service (see section 2.2). You will be solely and fully liable for any loss or damage caused by hacking or password loss due to your own acts or omissions, including but not limited to improper safekeeping, failure to take reasonable precautions etc. We will not be responsible for any loss or harm suffered by you due to the inaccurate or incomplete data or information provided by you.

5. Intellectual Property Rights

5.1 The rights in the entire content of the HMGICS Account belong to us and/or our affiliated companies (collectively the "Hyundai Group "), and/or to third parties, and are protected by applicable copyright law.

The rights to the Hyundai trademarks and the underlying software of the HMGICS Account belong to the Hyundai Group and its licensors. You may not sell, distribute, publish, broadcast, circulate or commercially exploit the HMGICS Account in any manner without our express written consent. You may not reproduce (in whole or part), transmit (by electronic means or otherwise), modify, display, redeliver, license, link or otherwise use the HMGICS Account, the HMGICS Account content or the Hyundai trademarks for any public or commercial purpose without our prior written permission.

5.2 Nothing in these Terms shall be construed as granting a license or a right to copy or distribute any content, image, or trademark. We reserve all rights with respect to our proprietary information or material in connection with the HMGICS Account and will enforce such rights to the full extent of applicable law.

6. Our rights to make changes

6.1 We may change these Terms or the HMGICS Account. We may change these Terms or functionalities of the HMGICS Account from time to time. Changes to these Terms will be notified to you by email or through another form of notification. If you do not object to those changes in text form within 4 weeks after receipt of the notification, the changes will be deemed accepted by you. We will expressly notify you about the right to reject and the consequences of being silent.

6.2 We may suspend your access to your HMGICS Account. Among other reasons, we may have to suspend access to your HMGICS Account without giving you prior notice to:

• deal with technical problems or make minor technical changes;

• make updates to reflect changes in relevant laws and regulatory requirements.

7. How to end the contract with us (including if you have changed your mind)

7.1 You can terminate this contract on a 30 days' notice by deactivating your HMGICS Account. You can request to deactivate your HMGICS Account at any time by clicking on the "delete your account" button. Your account will stay dormant for 30 days (during which you can re-activate it), and will be definitively deactivated at the end of this period. Your contract with us will also end at that time.

7.2 IMPORTANT: once your HMGICS Account is deactivated, you will no longer be able to log into any HMGICS services connected with it. In such a case, a re-activation of your existing HMGICS Account during the 30-day dormancy mentioned above, or the creation of a new HMGICS Account will be necessary to continue the use of these services. You understand and agree that once your account is definitively deactivated, all data, content or information generated under your HMGICS Account may be deleted or anonymised and may not be recovered or provided.

7.3 Your obligations set out in section 4.2 above shall survive the termination of this contract. As such, we may exercise our rights in connection to your violation of the provisions of section 4.2 even after the end of this contract.

8. Our rights to end the contract

8.1 We may end the contract if you break it. In this case, we will end this contract by providing you a notice of termination in writing.

We may discontinue the HMGICS Accounts. We may write to you to let you know that we are going to stop providing you with access to your HMGICS Account. We will let you know at least 6 weeks in advance of our discontinuation the HMGICS Account.

9. Our responsibility for loss or damage suffered by you

9.1 We are limiting some of our liability for your losses or damages. If we break an essential obligation under these Terms (i.e. an obligation on which the proper implementation of this contract depends, and which you could reasonably expect to be fulfilled) through simple negligence, our liability will be limited to compensating your losses or damages which are (1) a foreseeable result of breaking this contract and (2) typical for this type of agreement. We exclude our liability for violating any non-essential obligations.

9.2 We do not exclude or limit our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our fault, liability for wilful actions or gross negligence, liability under the Singapore Unfair Contract Terms Act 1977 or other mandatory provisions of the applicable law (see Clause 11.4 below).

9.3 We are not liable for business losses. The use of the HMGICS Account is limited to private use. We will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

9.4 You are obliged to take reasonable efforts to prevent and minimize your losses and damages.

10. How we may use your personal information

10.1 How we may use your personal information. We will only use your personal information as set out in our Privacy Policy.

11. Other important terms

11.1 We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation. We will contact you to let you know if we plan to do this. If you are unhappy with the transfer, you may end this contract by deactivating your HMGICS Account.

11.2 If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

11.3 Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

11.4 Which laws apply to this contract. These Terms are governed by the laws of the Singapore.
